Zwischen den Herren Hauptmann Frhr. von Weber und Capellmeister Mahler in Leipzig einerseits und Felix Bloch Erben in Berlin anderseits ist heute nachstehender Vertrag endgältig und rechtskräftig abgeschlossen worden.

The following contract between Herr Hauptmann Frhr. von Weber and Capellmeister Mahler in Leipzig on the one hand and Felix Bloch Erben in Berlin on the other hand, has been definitively and legally concluded today.

§1

Die Herren Freiherr von Weber und Mahler übergeben die Komische Oper in 3 Akten von C.M. von Weber

„Die drei Pintos‟

Felix Bloch Erben zum alleinigen und ausschliesslichen Vertrieb an sämtliche Bühnen Deutschland und Oesterreich-Ungarn mit Ausnahme des Stadttheaters in Leipzig.

§1

Messrs Freiherr von Weber and Mahler consign the comic opera in 3 acts by C.M. from Weber

"The three Pintos"

to Felix Bloch Erben for sole and exclusive distribution to all stages in Germany and Austro-Hungary with the exception of the Municipal Theatre in Leipzig.

§2

Felix Bloch Erben erhalten hierfür eine Provision von 5 Prozent sämtlicher mit den [sic] in §1 benannten Werke in Deutschland und Oesterrich-Ungarn zu erzielenden Einnahmen an Tantiemen und Honoraren, mit Ausnahme des Stadttheaters in Leipzig, wohingegen Felix Bloch Erben keinerlei Kosten für sogennante Einreichungsgebühren des Werkes, Porto, Versandt [sic], Reclame u.s.w. u.s.w. in Rechnung stellen.

§2

For this Felix Bloch Erben receive a commission of 5 percent of all royalties and fees to be achieved in Germany and Austro-Hungary with the [sic] in §1, with the exception of the Municipal Theatre in Leipzig, whereas Felix Bloch Erben will invoice no costs for so-called submission fees of the work, postage, delivery [sic], advertising etc. etc.

Die Herren Frh. von Weber und Mahler liefern das zum Versandt [sic] nöthige Material – Buch und Klavierauszug nur zur Kenntnisnahme der Bühnenvorstände – kostenlos. Die Lieferung des weiteren Materials erfolgte durch die Herren Frh. von Weber und Mahler direct an die Bühnenvorstände.

Messrs. Frh. von Weber and Mahler will provide the material necessary for dispatch – libretto and piano reduction only for the attention of the theatre management – free of charge. The despatch of further material directly to the theatre managements will be carried out by Messrs. Frh. von Weber and Mahler.

§4

Abrechnung von Seiten des Felix Bloch Erben erfolgt monatlich zwischen dem 1. un 15. eines jeden Monats.

Monthly accounts from Felix Bloch Erben will be due between the 1st and 15th of each month.

§5

Wer von den beiden Contrahenten diesen Vertrag bricht, zahlt dem Anderen unweigerlich eine sofort nach Wechselrecht zu entrichtende Conventionalstraffe von Dreitausend Mark, jedoch hebt die Zahlung der Conventionalstraffe diesen Vertrag nicht auf.

§5

Either [signatory] that breaks this contract between the two contracting parties inevitably pays the other [party] a contractual penalty of three thousand marks, to be paid immediately according to the bill of exchange law, but the payment of the contractual penalty does not terminate this contract.

Dieser Vertrag ist auf die dauer von 10 Jahren, vom Tage des Vollzuges an gerechnet, unkündbar geschlossen. Die Herren von Weber und Mahler behalten sich das Recht vor[,] hinsichtlich der Verleihung des Aufführungsrechtes an diejenigen Bühnen, bei denen ihnen die Aufführung des Werkes nicht convenieren sollte, Einspruch zu erheben, und sollen Felix Bloch Erben verpflichtet sein, diesen Bühnen das Aufführungsrecht nicht zu überlassen, oder, falls ein diesbezüglicher Contract mit der betreffenden Bühne schon abgeschlossen sein sollte, denselben auf Grund contractmäßiger Abmachungen zu kündigen.

This contract is binding for a period of 10 years from the date of execution. Messrs von Weber and Mahler reserve the right to object to the granting of the right to perform at those theatres where the performance of the work would not be suitable, and Felix Bloch Erben would be obliged to refuse these theatres performance rights, or, if such a contract had already been concluded with the stage concerned , to terminate the same on the grounds of contractual agreements.

Five days after the agreement with Bloch was signed by Freiherr von Weber, the publishing contract with C.F. Kahnt was finalised and signed:

Am heutigen Tage kam zwischen uns und Herrn Oscar Schwalm von Firma C.F. Kahnt Nachfolger folgender Verlags-Vertrag zu Stande:

Carl Maria Freiherr von Weber und Gustav Mahler als besitzer des Manuscriptes und der Rechte zur Oper „Die drei Pintos“ von C.M. von Weber übergeben Herrn Oscar Schwalm in Firma C.F. Kahnt Nachf. das uneingeschränkte Verlags-Recht der gennanten Oper für alle Zeiten und Länder. Herr Schwalm verpflichtet sich als Honorar

20000 Mark

in Buchstaben zwanzigtausend Mark zu zahlen und zwar 10000 Mr (zehntausend Mark) sogleich bei übergabe des Manuscriptes und 10000 Mk (zehntausend Mark) einen Tag vor der ersten Aufführung zu Leipzig. Den Verkauf der Partitur an die Bühnen behalten sich die Herren Frhr. von Weber und Gustav Mahler in der Weise vor, daß Herr Oscar Schwalm (C.F. Kahnt Nachfolger) ihnen ein Exemplar der Partitur für den Preis von 200 Mark (zweihundert Mark) zu liefern hat. In den Contracten, welche Frhr. von Weber und Gustav Mahler mit den Bühnen bezüglich des Aufführungsrechts abschließen ausdrücklich der Passus aufzunehmen, daß alle Bühnen, denen das Aufführungsrecht zugestanden wird, das gesamte Stimmen-Material von dem Herrn Verleger zu beziehen haben. Derselbe verpflichtet sich, jenes zu einem Preise, der à Druckbogen 50 Pf nicht übersteigen darf, zu liefern.

in words, twenty thousand marks, namely 10,000 Mk (ten thousand Marks) immediately upon delivery of the manuscript and 10,000 Mk (ten thousand Marks) one day before the first performance in Leipzig. Messrs. Frhr. von Weber and Gustav Mahler reserve the right to sell the score to the stage in such a way that Mr. Oscar Schwalm (C.F. Kahnt Nachfolger) has to deliver a copy of the score to them at the cost of 200 Marks (two hundred Marks). In the contracts, which Frhr. von Weber and Gustav Mahler conclude with the theatres with regard to the performance rights, the clause must be expressly included that all theatres that are granted the right to perform must obtain all of the performance material from the publisher. The latter undertakes to deliver that at a price which may not exceed 50 Pf. per printed sheet.

Addendum

to the contracts concluded on 2 December 1887 between on the one hand Messrs. Frhr. Weber and Gustav Mahler and on the other hand Oscar Schwalm (C.F. Kahnt Nachf.) regarding the right to publish the comic opera "drei Pintos" by C.M. from Weber.

The reservation: "the sale of the score to the stage" - up to - "has to deliver for the price of two hundred marks" is rescinded in favour of Mr. Oscar Schwalm under the following conditions. Mr. Schwalm undertakes

1. den Bühnen, welche das Aufführungs-Recht erworben haben, das gesammte erforderliche Material nebst der Partitur umgehend zu liefern und die unten für einzelnen Bühnen aufgeführten Maximal-Preise nicht zu überschreiten. Für die Bühnen außerhalb Deutschlands und Oesterreich-Ungarns hat Herr Schwalb von den Betrage, welcher den Preis von zwölf-hundert Mark übersteigt, fünfzig Prozent an die Herren Frhr. von Weber und Mahler zu zahlen.

1. to immediately deliver all the necessary material including the score to the theatres that have acquired the right to perform and not to exceed the maximum prices listed below for individual theatres. For theatres outside Germany and Austro-Hungary, Mr. Schwalb will pay  to Messrs Frhr. von Weber and Mahler fifty percent of the amount by which the fee exceeds twelve hundred marks.

2. Nach der Annahme der Oper seiten[s] fünfzehn Bühnen die Summe von zweitausend Mark an die Herren Frhr. von Weber und Mahler zu zahlen.

2. After the opera has been accepted by fifteen theatres, to pay the sum of two thousand Marks to Messrs. Frhr. von Weber and Mahler.¹

3. Jede der contrahirenden Partheien verpflichtet sich für Nicht-Erfüllung jedes enzelnen Theiles dieses Contracts eine Coventional-Strafe von dreitausend Mark zu bezahlen.

§1. Herr Mahler hat auf Veranlassung und Anregung des Freiherrn von Weber die musikalische Bearbeitung des im Nachlasse Carl Maria von Webers aufgefunden Fragments zu der Oper „Die drei Pintos“ übernommen und ausgeführt.

§1. At the instigation and suggestion of Freiherr von Weber, Mr Mahler took over and carried out the musical adaptation of the fragment of the opera “The Three Pintos” found in the estate of Carl Maria von Weber.

§2. Herr Mahler hat für die §1. gedachte Arbeit, wie er hiermit bekennt, vom Freiherrn von Weber ein einmaliges Honorar von 10.000 Mk bereits erhalten. Als weiteres Honorar erhält er nun von denjenigen 2000M.- die Freiherr von Weber nach dem zwischen ihm und Herrn Oscar Schwalm in Firma C.F. Kahnt Nachf. in Leipzig hinsichtlich des Verlagsrechtes abgeschlossenen Vertrags [sic] in dem in §3 dieses Vertrags vorgesehenen Falle von Herrn Oscar Schwalm in Firma C.F. Kahnt Nachf. in Leipzig eventuell zu beanspruchen hat, die Hälfte mit 1000 M.-, sobald dieser Betrag von Schwalm an ihn gezahlt worden sein wird. Außerdem verspricht Freiherr v. Weber, Herrn Mahler von denjenigen Honoraren, bez. Tantième, die er für Gestattung des Aufführungsrechtes von Bühnen erhalten wird, jeweilig einen Antheil von 2/5 des Betrages dieser Honorare bez. Tantième zu gewähren. Herr Mahler erhält diese 2/5 erst nach erfolgter Zahlung der Honorare bez. der Tantième durch die Bühnen an Freiherrn von Weber, und letzterer übernimmt keinerlei Garantien für den Eingang dieser Beträge.

§2. Mr Mahler, as he herewith acknowledges, has already received a one-off fee of 10,000 Mk from Baron von Weber for the work referred to in §1. As a further fee he will receive half (1,000 Mk) of the 2,000Mk which may be due, according to the contract relating to publication rights concluded (as provided for in §3 of the present contract) between Freiherr von Weber and Mr. Oscar Schwalm of the firm C.F. Kahnt Nachf. in Leipzig, as soon as this payment to him [i.e. Baron von Weber] has been received from Schwalm. In addition, Baron v. Weber, grants to Mr Mahler a 2/5 share of the amount of those fees [Tantième], which he will receive from theatres for granting of performance rights. Mr. Mahler will receive these 2/5 only after the theatre has paid the fees to Baron von Weber, and the latter offers no guarantee for the receipt of these amounts.

§3. Herr Mahler erkennt, gegen Gewährung der in §2 gedachten Honorare + Tantième, vorbehaltlich natürlich seines Rechtes auf Nennung seines Names als des musikalischen Bearbeiters des Werkes, Freiherrn von Weber dergestalt als den allein berechtigten Eigentümer des Werkes an, daß Freiherr von Weber berechtigt ist, die hinsichtlich des Werkes erforderlichen Verträge und Abschlüsse mit Dritten, sowohl was das Verlagsrecht, als was das Aufführungsrecht anlagt, auf seinen Namen und unter den ihm angemessen erscheinenden Bedingungen zu machen.

Mr. Mahler, in return for the payment of the fees and royalties mentioned in §2  and subject, of course, to his own right to be named as the musical arranger of the work, acknowledges Freiherr von Weber as the sole authorized owner of the work, so that Freiherr von Weber is entitled to to make the necessary contracts and agreements with third parties with regard to the work, both in terms of the right to publish and the right to perform, in his own name and under the conditions which he deems appropriate.

§4 Unbeschadet des nach §3 dem Freiherrn von Weber zustehenden Eigenthumrechts soll für den Fall seines Ablebens oder wenn er dispositionsunfähig werden sollte, die in §3 ihm gewähleistete geschäftliche und rechtliche Dispositionsbefugniß, statt auf seine Erben oder seinen gesetzlichen Vertreter auf Herrn Mahler bis zu dessen Ableben oder etwa bei ihm eingetretenen Verlust der Dispositionsfähigkeit übergeben. Im Übrigen bewendet es aber allenthalben für die Rechtsnachfolger beider Contrahenten bei den Bestimmungen des gegenwärtigen Vertrages.

Without prejudice to the right of ownership to which Baron von Weber is entitled according to §3, in the event of his death or if he should become incapable of management, the powers of business and legal management granted to him in §3, shall transfer to Mr Mahler instead of to his heirs or his legal representative, until the latter's death or his suffering a loss of management capability. In other respects the provisions of the existing contract apply throughout to the legal successors of both contracting parties.

The provisions of clause 4 became pertinent when Freiherr Carl von Weber died in Leipzig on 15 December 1897. It is not clear whether:

a) the document had any legal validity,
b) von Weber's heirs and representatives and/or Mahler recalled the document, or

c) whether its provisions were applied.

IIa: Sieben Lieder, nos 1-6 and Kindertotenlieder

In April 1905 Mahler signed a publishing contract in which he assigned publishing rights in eleven of his songs: six individual songs (two settings of texts from Des Knaben Wunderhorn, and four of texts by Rückert) and the Kindertotenlieder.

I declare that I am solely entitled to dispose of the copyright to the works and that I have not otherwise transferred them in whole or in part. The publication must take place in autumn of this year at the latest. The performance rights remain reserved to the composer.

If the copyright protection period is legally extended, this contract remains in force for the duration of the extension.

Die Niederschrift der Werke, welche dem Stich zu Grunde liegt, verbleibt im Besitze der Verlagshandlung als deren Eigentum.

The copy of the works on which the engraving is based remains in the possession of the publisher as its property.

Ich bin zu jeder Zeit bereit, meine eigenhändige Namensunterschrift gerichtlich oder notariell beglauben zu lassen.

I am ready at any time to have my handwritten signature certified by a court or a notary.

Die Firma C. F. Kahnt Nachfolger übernimmt die vorstehend aufgefürten Kompositionen des Herrn Hofoperndirektor Gustav Mahler in Verlag und lässt die Partitur, Orchesterstimmen und Klavierauszüge in Notenstich herstellen. Herrn Hofoperndirektor Mahler erhält die Hälfte des Bruttoertrages und als Vorschuss auf diese Bezüge einen Betrag von Fünfhundert Mark für jede Komposition, zahlbar nach Eingang des Manuscriptes. Abrechnung geschieht jährlich per 1. Juli.* Herr Mahler ist berechtight, zur Prüfung derselben die betr. Conti der Bücher der Firm persönlich oder mittels eines Vertreters einzushehen.

The firm C. F. Kahnt Nachfolger will take over the above-mentioned compositions by Court Opera director Gustav Mahler and have the score, orchestral parts and piano reductions produced by engraving. Court Opera director Mahler will receive half of the gross profit and as an advance payment on these payments an amount of five hundred Marks for each composition, payable after receipt of the manuscript. Settlement takes place annually on July 1st. * Mr. Mahler is entitled to examine the relevant entries in the books of the company personally or through a representative.

IIb: „Liebst du um Schöhnheit

It was not until 1906 that Mahler decided to offer another Rückert setting, „Liebst du um Schöhnheit“ for publication by C.F. Kahnt. This had been composed in 1902, as a private birthday gift for his wife, Alma.

The layout of the document is not quite clear from Willnauer's transcription. He reports that the original is a printed document with typescript and handwritten additions. The line 'für ein einmaliges Honorar von 500 fl.', signature and address are in Mahler's hand, while the deletion of '500 fl.' and its replacement with 'M. 600' and the annotation at the foot of the document are in a different hand. It should be noted that Mahler's addition concerning the honorarium uses the abbreviation 'fl.', referring to the Austro-Hungarian Gulden which was gradually replaced by the Krone (2 Krone=1 Gulden) from 1892. Until 1900 both were legal tender but Mahler appears to have continued to reckon in Gulden throughout his life. In the period 1905–7 the Krone/Mark exchange rate was around 1K=0.85Mk,² so 'M. 600' represented a considerable reduction in the monetary value of the honorarium (c. 850Mk) the composer had envisaged. Mahler presumably accepted Kahnt's counter-offer relating to Liebst du um Schönheit in a separate exchange of letters. Moreover, this contract – unlike IIa (1905), which covered eleven other songs published by Kahnt – omits any reference to Mahler receiving a share in profits from the sale of printed copies.  It is also worth noting that Mahler accepted some of the options to alter or reuse his work that the 1906 contract granted to the publisher.

I declare that I am solely entitled to dispose of the copyright to the works and that I have not otherwise transferred them in whole or in part. I allow the publishing company to make appropriate additions, abbreviations and changes, and the publisher alone is entitled to publish the usual arrangements, extracts and arrangements for individual or multiple instruments or voices, as well as transpositions into other keys, translations into other languages and adaptations in a dramatic or narrative form, I leave it to determine the time of publication, to set and later change the sales price and waive the right to take melodies from the work in a recognizable manner and to base a new work on them. III: Sixth Symphony

In June 1905, two months after assigning the rights to eleven of his new songs to C.F. Kahnt, Mahler decided to accept the firm's offer to publish his Sixth Symphony. The typescript contract (with handwritten insertions by Mahler) adopted or adapted many of the contractual statements and formulations found in the earlier contract for the songs, but no provision that Mahler would receive any income from the profits accruing from the sale of printed copies. The place and date are in Mahler's hand.
